Why do we need to save Unpublished Price Sensitive Information (UPSI) in a structured digital database?
UPSI means any information related to the Company, which, if published, is likely to materially affect the price of securities of the company. UPSI contains but is not limited to financial results, intended declaration of Dividends, Issue/buyback of securities, major expansion plans, etc.
Regulation 3(5) of SEBI (Prohibition of Insider Trading) Regulations
The Board of Directors shall ensure that the Company maintains a Structured Digital Database (SDD) containing details of the nature of UPSI and the names of such persons who have shared the information and the names of the person with whom the information is shared along with the PAN or any other identifier authorised by law.
